These Terms of Service (“Terms”) govern your use of the ProXSites website at proxsites.com and any website design, development, hosting, maintenance, or related services you purchase from us (“Services”). Please read them before ordering. If you do not agree with them, do not use the site or purchase the Services.
1. Who We Are
ProXSites (“we”, “us”, “our”) builds and hosts websites for small and local businesses. We operate from Douglas, Georgia, United States. You can reach us at Admin@ProXSites.com or 229-375-6034.
2. Acceptance of These Terms
By browsing this site, submitting an enquiry, or purchasing Services, you agree to these Terms. If you are entering into them for a company, you confirm you are authorized to bind that company.
These Terms work alongside our Privacy Policy and our Accessibility Statement, which are part of this agreement by reference.
3. What We Provide
Our Services are sold as packages — currently Starter, Pro, and VIP — each with a one-time build fee and a recurring monthly fee. What each package includes is described on our pricing page and in the quote or proposal you receive.
The quote or proposal you accept controls what is in scope. Anything not described there is out of scope and is quoted separately before we do the work.
4. Quotes, Orders, and Payment
A quote is not binding until you accept it in writing and pay any deposit it requires. Build work begins after that.
Monthly fees are billed in advance and recur until the plan is cancelled under Section 12. Fees are stated exclusive of taxes; you are responsible for any sales or use tax that applies to your purchase.
If a payment fails or an invoice goes unpaid past its due date, we may pause work and, after reasonable notice to you, suspend the Services under Section 12.
5. Your Responsibilities
To build and run your site, we need things from you. You agree to:
- Provide content, images, logos, and account access in a timely way.
- Make sure the information you give us — business name, address, phone, hours, licensing, credentials, claims about your services — is accurate and current.
- Review and approve work when we send it. Extended delays on your side may push timelines and, on a fixed-scope build, may require a revised quote.
- Keep your own account credentials secure.
- Use the Services in a way that follows applicable law.
6. Content You Provide
You keep ownership of everything you give us — text, images, logos, video, data. By providing it, you grant us a license to use, reproduce, modify, and publish it as needed to deliver the Services.
You confirm that you own that content or have permission to use it, and that publishing it will not infringe anyone’s rights. We do not clear third-party rights on your behalf, and we may decline or remove content we reasonably believe is infringing or unlawful.
7. Ownership of the Finished Site
Once your build is paid in full, the completed site design and page content produced for you are yours.
We keep ownership of the things that are not specific to you: our own tools, frameworks, templates, code libraries, internal processes, and any general know-how. Nothing here transfers rights in third-party software — WordPress, themes, plugins, fonts, or stock media — which stay with their own licensors under their own licenses.
Your domain name is yours. If your account is paid current, we will transfer or unlock it on written request.
8. Third-Party Services
Delivering the Services depends on providers we do not control, including hosting infrastructure, domain registrars, certificate authorities, plugin and theme developers, analytics providers, and payment processors.
Their performance, availability, terms, and pricing are theirs, not ours. We choose them carefully and will work in good faith to resolve problems, but we are not responsible for their acts, outages, or changes.
9. Hosting, Availability, and Maintenance
We will make commercially reasonable efforts to keep hosted sites available and performing well. We do not guarantee a specific uptime percentage, and no numeric availability commitment is made or implied by any statement on this site.
Availability can be affected by scheduled maintenance, emergency maintenance, upstream provider outages, denial-of-service attacks, and other events outside our control. We aim to schedule planned maintenance at low-traffic times and to give notice where a meaningful interruption is expected.
Plans that include monthly updates cover routine WordPress core, theme, and plugin updates and the checks that go with them. They do not cover new pages, redesigns, or new functionality, which are quoted separately.
10. Backups
Backup frequency depends on your plan and is described on the pricing page. Backups are a recovery tool, not an archive. We do not warrant that any particular backup will be complete or restorable, and we encourage you to keep your own copies of anything you cannot afford to lose.
11. Support
Support scope and response expectations depend on your plan. Support covers the site and services we provide. It does not cover your hardware, your email client, third-party software we did not install, or training beyond ordinary use of what we built.
12. Cancellation, Suspension, and Refunds
You may cancel your monthly plan at any time by giving us 30 days’ written notice at Admin@ProXSites.com. Your plan and billing continue through that 30-day period, and Services end at the close of the period you have paid for. We do not prorate partial months.
Build fees are non-refundable once work has begun. If you cancel before we start, any deposit is refundable in full. This reflects that build work is performed to your specification and cannot be resold.
We may suspend or terminate Services if fees remain unpaid after reasonable notice, if the Services are used in violation of Section 13, or if we are required to by law or by an upstream provider.
On cancellation, you keep your paid-for site files and your domain. Hosting, SSL provisioning, monitoring, backups, and support stop. We will provide a copy of your site files on written request made within 30 days of termination. After that we may delete your data in the ordinary course.
13. Acceptable Use
You agree not to use the Services to send unsolicited bulk email, distribute malware, host content that infringes intellectual property rights, publish unlawful or fraudulent material, misrepresent your identity or affiliation, attempt to gain unauthorized access to any system, or interfere with anyone else’s use of shared infrastructure.
14. Accessibility
We build with accessibility in mind and can perform accessibility remediation as a scoped engagement. Unless your quote specifically includes it, we do not certify or warrant conformance with WCAG, the ADA, the European Accessibility Act, or any other standard. Accessibility depends in part on content you add over time, so it is an ongoing practice rather than a one-time state. See our Accessibility Statement.
15. No Guarantee of Results
We do not guarantee search rankings, traffic volumes, conversion rates, lead counts, or revenue. Search engines and advertising platforms control their own algorithms and change them without notice. Any figures, benchmarks, or third-party research cited on this site or in our blog are provided for information and are not a promise of results for your business.
16. Warranties and Disclaimers
Except as expressly stated in these Terms or in your quote, the Services and this website are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Services will be uninterrupted or error-free.
17. Limitation of Liability
To the fullest extent permitted by law, ProXSites will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, arising out of or relating to the Services, even if we have been advised such damages are possible.
Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total amounts you actually paid us for the Services in the twelve (12) months immediately before the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
18. Indemnification
You agree to indemnify and hold ProXSites harmless from claims, damages, and reasonable costs arising out of content you provide, your use of the Services, or your breach of these Terms — including claims that your content infringes a third party’s rights or that statements published on your site are inaccurate or unlawful.
19. Changes to These Terms
We may update these Terms as our Services change. The revised version takes effect when posted, and the “Last Updated” date at the top will change. For changes that materially affect an active plan, we will make reasonable efforts to notify you by email. Continuing to use the Services after a change means you accept the revised Terms.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in or serving Coffee County, Georgia, and you consent to the jurisdiction of those courts.
Before filing anything, we ask that you contact us so we can try to resolve the matter directly.
21. General
If any provision of these Terms is found unenforceable, the rest stays in effect and the unenforceable part is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with your accepted quote, the Privacy Policy, and the Accessibility Statement, are the entire agreement between us regarding the Services.
